Risks you should consider

A placeholder disclosure describing the principal categories of risk affecting mineral transactions and mining-project financing.

This document is a placeholder prepared for review and completion by qualified Canadian and international legal counsel acting for MIG Minerals & Metals Capital. It is not yet a final legal instrument and must be finalised, jurisdiction by jurisdiction, before the platform is relied upon commercially.

Geological and technical risk

Grades, tonnages, recoveries and production estimates are estimates only. Assay results may vary between samples, laboratories and shipments, and resource or reserve statements may not be realised.

Operational and delivery risk

Production may be interrupted, delayed or suspended. Logistics, port access, customs and export authorisations may fail or change, and shipments may be damaged, delayed, rejected or lost.

Counterparty and credit risk

A counterparty may fail to deliver, fail to pay or fail to perform. Verification reduces but does not eliminate this risk.

Political, legal and regulatory risk

Licences, permits, royalties, export rules, taxation and ownership requirements may change. Sanctions, restrictions and dual-use controls may apply and may change without notice.

Environmental, social and community risk

Environmental obligations, rehabilitation liabilities, community relations and the rights of indigenous and local communities may materially affect a project and its schedule.

Financial and market risk

Commodity prices, currencies, freight rates and financing conditions fluctuate. Financing may not be obtained, may be withdrawn or may be offered on different terms.
